Role Description:

We are looking for a bright, hard-working, flexible, conscientious attorney who is licensed in California for primarily corporate securities work but with flexibility in terms of practice areas—plenty of opportunities depending on capabilities, and lots of flexibility in terms of remote working and hours. Full-time, part-time, or contract project-based work was ok–we are looking for talent and can be flexible on employment/contract terms. Compensation and advancement potential are very high depending on capability and experience. We are willing to pay TOP OF MARKET salaries or hourly rates depending on preference for the most effective proven attorneys, depending on qualifications and experience. There is very little or no politics or bureaucracy here, we provide very high value to clients and operate as a meritocracy here above all else.

Qualifications:

  • Juris Doctor degree from an accredited law school
  • STRONG preference for Top 20 Law Schools
  • State Bar Admission and in good standing in California
  • 3+ years experience in a large law firm

Preference for experience in Securities Law, Corporate Finance, and M&A Transactions (some flexibility here if a precocious learner)

Some experience in California employment law is also a plus

Demonstrated proficiency in SEC and FINRA Regulations

Preferred Expertise in drafting and negotiating transaction documentation, including public offerings (IPOs), Private Placements, Mergers and Acquisitions, and other contracts

Preferred Experience in advising clients on Securities Laws and Regulations at the Federal and State levels.

Preferred some Litigation experience.

Ability to work independently and effectively with minimal supervision

Additional languages are also a plus but not essential.

Jessica Vittorio

Jessica Vittorio is Of Counsel with Prudentia Law Corporation. Her practices focus on providing startups and business owners with the insight and experience they need to properly grow their businesses. In addition to her practice, Jessica is active in the startup and entrepreneurial community and regularly speaks on business law throughout the United States. She is a strong believer in the power of innovation and entrepreneurship to empower individuals and lift communities.

Throughout the course of her career, Jessica has been an Adjunct Professor of Business Law, authored a book on business law basics for business owners which debuted as a #1 New Release on Amazon’s Business Law list, and was the co-founder of a legal technology platform.

Prior to joining the firm, Jessica attended Southwestern University where she received her Bachelor’s degree in Political Science before attending Baylor Law School for her Juris Doctorate. Upon graduating from law school, Jessica served as Legislative Counsel for a Member of the United States House of Representatives in Washington D.C. where she oversaw legal affairs for the office, as well as policy areas involving immigration, small businesses, technology, and innovation, and disaster relief.

During her time on the Hill, Jessica drafted multiple pieces of legislation which made it to the floor of the House of Representatives several of which was eventually signed into law. She left Congress in 2015 to open her firm, but frequently guest writes for various news publications on topics pertaining to law, policy, and entrepreneurship.
