Prudentia Law provides comprehensive counsel across a broad spectrum of legal matters. The practice areas below are representative of our work, not an exhaustive list — and in our experience, few matters fit neatly within a single one. Our attorneys work across disciplines, with the whole picture in view: the contract and its consequences in a dispute, the transaction and the risks that follow it. If you don’t see your matter described here, we invite you to reach out.
01Corporate & Securities
Counsel for every stage of a company’s life — formation, financing, growth, and exit.
Raising a first round. Taking on private equity. Negotiating the strategic transaction that changes the company. Whatever stage you’re at, we’ve been there — with clients from startups to Fortune 50 companies, and often across borders, drawing on working relationships across the U.S. and Asia to get global deals done efficiently.
We approach each engagement as business advisors, not just risk managers: we weigh the commercial stakes alongside the legal ones, give you the risk and the opportunity in the same breath, and structure each deal so it’s still worth doing when the lawyers are done. Over their careers, our attorneys have advised on transactions representing billions of dollars in aggregate value, including mergers, IPOs, SPAC business combinations, and financings. Many clients engage us for ongoing counsel because we already understand their business when the next question arrives.
We also represent nonprofit and philanthropic organizations, whose challenges are their own: compliance obligations that don’t map neatly onto corporate practice, and missions that deserve practical support, not just legal caution.
We advise on early-stage and venture financings · private equity investments and buyouts · mergers, acquisitions, and complex strategic transactions · securities law compliance · corporate governance · cross-border transactions · nonprofit formation and compliance
02Litigation
We build deals and litigate disputes — for businesses and individuals.
A contract broken. A partnership gone sideways. A lawsuit on your desk. Most of our courtroom work is corporate and business disputes, and because we build deals as well as fight over them, the lawyer arguing your contract knows how contracts like it are put together — and where they break. We represent individuals too: in employment disputes, injury claims, and other civil matters, with the same care and the same judgment.
Whatever the dispute, we start with the same questions: what does a good outcome actually look like for you, and what should it cost to get there? Sometimes the answer is pressing hard for prompt resolution. Sometimes it’s a patient, strategic defense. We’ll tell you which, and why — and because most disputes end at a negotiating table rather than a verdict, we prepare for both from day one. When trial is the right answer, we try the case.
Our senior litigators each have more than twenty-five years in practice and have handled a broad range of civil disputes. You don’t need to be a corporation to have us in your corner.
03Real Estate
Transactions, development, and disputes — across every property type.
A real estate transaction often involves one of a client’s largest assets, and many of its consequences emerge only after closing. Whether you’re buying, selling, financing, or developing — residential, multi-family, or commercial — we help you see what follows the signature before you sign.
When disputes arise — landlord–tenant and rent control matters, title defects, breaches of contract, foreclosure, land-use conflicts — we have represented parties throughout the real estate industry, including landowners, developers, contractors, associations, and real estate professionals, in matters running from environmental regulation and permitting through settlement and alternative dispute resolution.
Community associations are a particular focus. We draft and update HOA and COA governing documents, counsel boards and officers on their obligations, and resolve association disputes before — and when necessary, in — litigation.
We advise on purchases and sales · real estate financing and foreclosure · development and investment properties · use permits, zoning, and title defects · landlord–tenant and rent control matters · green building and sustainable development (LEED) · HOA/COA governance and disputes
04Employment
Practical counsel for both sides of the workplace.
Whether you’re an employer trying to get the workplace right or an employee who’s been wronged by one, employment problems rarely arrive one at a time. A restrictive-covenant question can implicate confidentiality, trade secrets, employee mobility, and agreements governed by another state’s law; a wage-and-hour issue raises classification questions behind it. We counsel both sides.
And because we advise both sides — companies building compliant workplaces and individuals protecting their rights — we can usually tell you how the other side of the table will read your situation. That perspective helps us identify practical paths to resolution.
We handle employment agreements · confidentiality and trade-secret issues · non-compete and restrictive-covenant disputes · wage and hour · discrimination · wrongful termination
05Intellectual Property
Protecting the work your business is built on.
Your name, your brand, your inventions, your creative work — these are assets, and their value depends in part on how well they are protected, managed, and enforced. We handle licensing and the enforcement and defense of copyright, trademark, and trade dress rights, from cease-and-desist through litigation.
Patent prosecution is handled in-house, alongside the trademark, copyright, and corporate counsel that many IP decisions touch. Whether you’re protecting a single mark or building a portfolio ahead of a financing, the strategy and the filings come from the same team.
We advise on patent prosecution · trademark and copyright protection · licensing · portfolio strategy · infringement and enforcement · trade dress · IP litigation
06EB-5 Investment Immigration
Project-side counsel for the EB-5 program — structure, offering, and execution.
Behind every EB-5 project is a body of documentation that has to hold up — for regulators, for investors, and for the project itself. Offering documents are at the core of our EB-5 work. We’ve structured and completed EB-5 projects in technology, energy, and real estate development, representing project principals, developers, fund managers, regional center principals, and placement agencies.
Our work is principally project-side. We prepare the offering documentation end to end — PPMs, subscription and purchase agreements, investor questionnaires, escrow agreements, and agreements with overseas agents and agencies — and the project documentation behind it, from corporate and construction agreements through licensing, development, and project management, so the documentation holds together from the investor’s first signature to the project’s completion.
07Personal Injury
Clear counsel after a serious injury — starting with a free consultation.
A serious injury affects more than your health. Medical expenses, lost income, and an unfamiliar claims process can quickly become overwhelming. We help clients understand their options, preserve their claims, and pursue the compensation available under the law.
While you focus on recovering, we handle the legal process and communications with insurers and other responsible parties. Your initial consultation is free: tell us what happened, and we will give you a direct assessment of where you stand.
